California LLCs must complete and file a Statement of Information (Form LLC-12) within 90 days after the filing of its original Articles of Organization or Application for Registration. After this initial filing, Form LLC-12 must be filed biennially.
California Corporations are also subjected to the Statement of Information filing requirement, and usually at more regular intervals. The form to be used and the frequency of filing vary depending on the type of corporation that is filing. The initial filing must take place within 90 days of the filing of the Articles of Incorporation. Thereafter, most corporations will have an annual filing requirement, although some will file biennially. The California Secretary of State will allow most corporations to file online, with the cost being between $20 and $25.
Failure to file a Statement of Information will result in substantial penalties. Initially, a failure to file will result in a $250 penalty, and a continued failure to file will result in suspension of the entity’s status. Having to re-establish an entity can be a very burdensome process.
